Terms of Service

Article 1 (Purpose)

These Terms govern the rights, obligations, and responsibilities between MKC KOREA CO., LTD. (the "Company") and users in connection with the use of the GRAINSIFT service (the "Service") provided by the Company.

Article 2 (Definitions)

  • "Service" means the fashion sourcing analysis platform GRAINSIFT and related supplementary services provided by the Company.
  • "User" means an individual or entity that has registered for the Service under these Terms.
  • "Content" means all data uploaded by the User to the Service, including costing sheets and line plans.
  • "Beta Credits" mean the virtual usage units used for the Service during the beta period, including usage granted as a beta feedback reward.
  • "Workspace" means a shared team workspace under a Team, Scale or Custom plan. The "Owner" is the User whose subscription pays for the Workspace; "Admins" and "Members" are Users who have accepted a seat in it.
  • "Team Pool" means the monthly usage allowance of a Workspace, calculated per paid seat and paid for by the Owner, from which every active seat's AI usage is drawn.
  • "Activity Log" means the record of actions taken in a Workspace, as described in Article 5-2.
  • "Price History" means the permanent record, kept with a plan, of the reasons given for each price change and price decision on that plan, including who gave them and when.
  • "Order" means an internal order a factory User issues through the Service from a confirmed cost sheet, together with its items, revisions, send records and approval records.

Article 3 (Use of the Service)

  1. The Service is provided to professionals engaged in fashion, apparel, and accessory sourcing.
  2. The Service is currently in beta testing; features and operating policies may change.
  3. Users must not use the Service under another person's account or provide their account credentials to third parties.
  4. Users must not use the Service to distribute illegal information or infringe the intellectual property rights of others.
  5. For security, a session is signed out after 30 minutes without activity, and an account may be signed in in only one place at a time; signing in elsewhere ends the earlier session. Each person must use their own account. A Workspace seat may not be shared between people.
  6. Certain actions require a reason (for example, a new costing version, or confirming a price above target). Reasons and notes become part of the Price History, cannot be edited or deleted, and may be seen by the other party to the plan. Do not include personal data about any individual (such as contact details or information about an employee) in reason notes.

Article 4 (Data and Privacy)

  1. Business data uploaded by the User, such as costing sheets and line plans, is not used to improve AI models unless the User has given explicit consent; where consented, it is used only in anonymized form, and consent may be withdrawn at any time in Settings.
  2. Saving AI conversation history is opt-in; the default is off.
  3. Collected data is not sold. It is shared only with the service providers listed in the Privacy Policy, and with the recipients you direct us to send to.
  4. Emails sent on your behalf. When you send an order to your departments, the order and its attached files are emailed to the contacts you listed; if that order is later revised, cancelled or reopened, every listed contact is emailed automatically. Invitations are emailed to the factory addresses you enter. You are responsible for the accuracy of the contacts you enter and for having their permission to receive these emails.
  5. Orders and buyer details. Orders, and the buyer names, PO numbers and payment terms a factory User enters, are that User's Content. They are not shown to any brand, and the User may export the order ledger, each order sheet, the material requirements, the production load and the Executive figures at any time, or everything at once from Settings. On a Workspace, the Workspace's data can be exported only by the Owner and Admins, and each export is recorded in the Activity Log; each Member can export their own account records. Department contacts the User enters are used only to deliver the orders the User sends. The expected order periods and plants a factory User sets for a brand's plan are likewise that User's Content and are not shown to the brand; the expected order period a brand enters on its plan is shown to the factories it invites.
  6. Details on the handling of personal data are governed by the Privacy Policy.

Article 5 (Payment and Refunds)

  1. Payments for the Service are processed by Paddle, which acts as the merchant of record for every order. Your purchase is therefore also governed by the Paddle Buyer Terms and the Paddle Refund Policy, published at https://www.paddle.com/legal/refund-policy. The Company does not store payment card information.
  2. Refunds are handled by Paddle under that policy. A refund may be requested within 14 days of the transaction date, and where the law of your country grants a statutory right of withdrawal or cancellation, that right applies in full and is not limited by these Terms.
  3. To request a refund, use the "View receipt" or "Manage subscription" link in your payment confirmation email, or write to info@grainsift.com and we will pass the request to Paddle on your behalf.
  4. Subscriptions may be cancelled at any time. Cancellation takes effect at the end of the current billing period, and the subscription does not renew thereafter. When the Owner's Team, Scale or Custom subscription ends, or moves to an individual plan, Workspace features are paused for every seat. Workspace data is retained, not deleted, and becomes available again if the Owner subscribes to a team plan again.
  5. Failed payments. If a subscription payment fails, Paddle retries the payment method automatically and the plan stays available in the meantime, although a new monthly allowance is added only once the payment succeeds. The Company notifies the User who pays and, for a Workspace, its Admins by email and in the Service. If the payment has not succeeded 14 days after it first failed, the Company cancels the subscription: the account returns to its free plan and, for a Workspace, Workspace features are paused for every seat. Purchased usage and Workspace data are retained, not deleted.
  6. Beta Credits are granted free of charge and have no cash value. No payment is made for them. During the beta, when the Company acts on a User's post on the Feedback board (moves it to Planned, In progress or Shipped), the author may receive US$5 of usage, once per post and up to US$20 per User. Rewarded usage is Beta Credit, cannot be exchanged for cash, and may be changed or ended with the beta. Feedback posts are visible to other Users; the Service masks tokens and email addresses in automatically attached error reports, but Users must not post confidential information. During the beta, the Company may open a Team or Scale Workspace for an invited team at no charge for a set period. When that period ends, Workspace features are paused for every seat and the account returns to its beta plan; Workspace data is retained, not deleted.

Article 5-2 (Team Workspaces)

  1. Seats. A Team plan has 5 seats and a Scale plan 6 to 10 seats. Custom plans (11 or more seats) are arranged by agreement with the Company and are not available self-serve. The number of seats a Workspace can invite is limited to the seats paid for; after a downgrade, seats beyond the new limit stop counting toward the Workspace until seats are freed or more are purchased. A person joins a Workspace only after accepting an invitation. At most two people in a Workspace may hold the Owner or Admin role. Admins may give each seat a job role, mark Members as sub-managers, and choose one approver from the Admins and sub-managers for both price and order approvals.
  2. Team Pool and payment. The Owner pays for the Workspace subscription and for the Team Pool. AI usage by every active seat is drawn from the Team Pool, not from the seat holder's own account, and only the Owner can add usage to it. The Owner or an Admin may set a monthly usage limit for a seat; only the Owner may set a limit on an Admin's seat. When a seat reaches its limit, or the Team Pool and any purchased usage are used up, new AI work from that seat stops until the next period or until the limit or balance is raised.
  3. Visibility within the Workspace. Team plans, masters and the costing archive a Member works on are shared with the Workspace. Plans a person made, and costing-archive files they uploaded, on their own before taking a seat stay personal unless that person chooses to share them with the Workspace; a shared plan or file becomes the Workspace's and stays with it if that person later leaves. The Owner and Admins can see (a) each seat's usage drawn from the Team Pool, in US dollars, and (b) the Activity Log, which records seat changes, margin-floor and workspace changes, approval requests and decisions, and which team plans and costing sheets each person opened, with the time. By accepting a seat, a Member acknowledges this. On a factory Workspace, the Executive figures (sales plan, cash plan, order forecast, exceptions and ship schedule) are shown only to the Owner and Admins.
  4. Activity Log retention. Activity Log entries are visible for the last 30 days on Team, 90 days on Scale and 365 days on Custom, and may be exported as CSV on Scale and Custom. Entries are kept for up to 400 days and then deleted.
  5. Approvals. On a Workspace, prices and cost sheets are confirmed by the Owner, the Admins or the approver chosen by the Admins; any other Member asks for approval instead. An approval applies only to the submission version it was requested for; if the factory sends a newer offer first, the request closes without confirming anything. On a factory Workspace, an order issued by a Member is sent to the factory's departments only after the Owner, an Admin or that same approver approves it; the approver sends it as requested or returns it with a reason. Who requested and who decided, when, and the notes are kept with the order and recorded in the Activity Log.
  6. Leaving and account deletion. When a Member or Admin leaves the Workspace, is removed, or deletes their account, the Workspace's plans, brand and factory masters, decision reports and uploads attached to team plans remain with the Workspace and are assigned to the Owner; they are not deleted. The Workspace's usage records and Activity Log entries about that person remain with the Workspace for the periods above. Price History on team plans belongs to the Workspace and passes to the Owner with those plans, and the author name shown on each entry is kept. If the Owner deletes their account, the Workspace is closed: seats end, team plans created by Members become those Members' own plans, and team plans created by the Owner are deleted. Transfer of Workspace ownership is not currently available.
  7. Admin approval and trash. A Member or Admin cannot leave the Workspace or delete their account on their own: they send a request, and the Owner — or an Admin, for a Member's request — approves or declines it. When it is approved, the leaving or deletion happens as described above. If no decision is made within 30 days, GRAINSIFT carries out the request in the same way. The Owner and Admins can deactivate a seat at any time. Plans, costing sheets and documents, archive files and order attachments deleted by anyone on a Workspace are first moved to the Workspace trash, where the person who deleted them, the uploader or an Admin can restore them; only the Owner or an Admin can delete them permanently or empty the trash. Everything a Member or Admin uploads while on the Workspace — costing sheets, documents and archive files — is Workspace work: it stays with the Workspace when that person leaves or their account is deleted. Files they uploaded before joining stay theirs.
  8. The Owner is responsible for having the authority to invite Members, and, where the Owner is acting for an organisation, for informing Members of the processing described in this Article and in the Privacy Policy.

Article 6 (Suspension and Changes to the Service)

The Company may restrict or suspend all or part of the Service where unavoidable for operational reasons. In such cases, the Company will notify users in advance; in urgent cases, notice may be given afterward.

Article 7 (Limitation of Liability)

  1. The Company's AI analysis results are for reference only; the User is responsible for final business decisions made based on them.
  2. The Company is liable for damages arising from service interruption or data loss only to the extent permitted by law.
  3. The Company is not responsible for disputes that arise between a User and third parties through the Service.
  4. Figures the Service calculates from your data — including cost-sheet checks, the sales plan, cash plan, order forecast and ship schedule — are planning aids based on the data and terms you enter. They are not accounting, tax or financial advice. Payment dates shown are due dates under the entered terms, not records of actual payment.

Article 8 (Intellectual Property)

  1. Intellectual property rights in the Service's software, AI models, and UI design belong to the Company.
  2. Intellectual property rights in Content uploaded by the User belong to the User.
  3. Users must not reverse-engineer or copy the Service to provide a competing service.

Article 9 (Changes to the Terms)

The Company may amend these Terms to the extent permitted by applicable law. Any change will be announced by email or in-service notice at least 7 days before its effective date.

Article 10 (Governing Law and Jurisdiction)

These Terms are interpreted under the laws of the Republic of Korea. Any dispute shall be subject to the exclusive jurisdiction of the Seoul Central District Court.
